Please read these commercial terms carefully before purchasing our hardware solutions or using our Website.

These Terms and Conditions (“Terms”) govern your relationship, commercial transactions, and digital interactions with DANSKER (the “Company,” “we,” “us,” or “our”). By accessing our Website or procuring our products, you unconditionally agree to these Terms.

01 Acceptance of Terms

By accessing our website or purchasing our hardware solutions, you agree to be bound by these Terms. If you are acting on behalf of a company, you represent that you have the legal authority to bind that entity.

02 Eligibility

You must be at least 18 years old and a legally registered business entity or a professional representative to use our services and place commercial orders.

03 Accounts

Users are responsible for maintaining the confidentiality of their account credentials. DANSKER reserves the right to terminate accounts that provide false information or engage in unauthorized activities.

04 Orders, Pricing & Availability

Quotations & Pricing

All prices are quoted in USD (unless otherwise specified) and are subject to change without prior notice. Formal Quotations or Proforma Invoices (PI) are typically valid for a period of 7 days. DANSKER reserves the right to correct any pricing errors or technical inaccuracies on the website or in offline marketing materials.

Order Acceptance

An automated order acknowledgment does not constitute legal acceptance of an order. A contract is only formed when DANSKER issues a formal order confirmation or commences shipment. We reserve the right to limit order quantities or restrict services to specific geographic regions or customer categories.

Right to Refuse or Cancel Orders

DANSKER reserves the right, at its sole discretion, to refuse or cancel any order at any stage for reasons including, but not limited to:

  • Product Unavailability: Items are out of stock or discontinued.
  • Pricing or Description Errors: Identified inaccuracies in pricing, product specifications, or promotional terms.
  • Payment & Credit Issues: Failure to receive authorized payment or concerns regarding the buyer’s creditworthiness.
  • Compliance & Security: Suspected fraudulent activity, violation of export control regulations, or international trade sanctions.
Notification & Refund: In the event of an order cancellation by DANSKER, we will notify the buyer via the provided contact information. If payment has already been processed for a cancelled order, DANSKER will issue a refund of the original transaction amount. DANSKER shall not be liable for any additional costs, loss of profit, or damages resulting from such cancellations.

05 Shipping & Risk of Loss

Incoterms

Unless otherwise specified in a formal Quotation or Proforma Invoice, all international shipments are conducted under EXW (Ex Works) or FOB (Free On Board) terms (Incoterms® 2020). Specific logistics arrangements are subject to the written agreement between DANSKER and the Buyer.

Delivery Estimates & Delays

Any delivery dates or lead times provided are estimates only and do not constitute a guarantee of delivery on a specific date. DANSKER shall not be liable for any losses or penalties resulting from delays caused by carriers, customs clearance, labor strikes, or other Force Majeure events.

Shipping Costs, Duties & Taxes

The Buyer is responsible for all shipping charges, insurance premiums, and applicable import duties, Value Added Tax (VAT), or other customs-related fees in the destination country.

Transfer of Risk & Title

Risk Transfer: The risk of loss or damage passes to the Buyer as soon as the products are delivered to the first carrier or made available at the designated pickup point.

Title Transfer: Notwithstanding the transfer of risk, title to the products remains with DANSKER until full payment for the goods has been received.

Inspection & Shortages

The Buyer must inspect the shipment immediately upon arrival. Any claims for visible damage, packaging breaches, or quantity shortages must be filed in writing with DANSKER within 7 business days of receipt, accompanied by photographic evidence and the carrier’s inspection report. Failure to do so constitutes unconditional acceptance of the goods.

06 Returns & Refunds

RMA Procedure

All returns, whether for repair, replacement, or credit, must be pre-authorized through our Return Merchandise Authorization (RMA) process. The Buyer must contact our support team with proof of purchase and a detailed defect report to obtain an RMA number. Packages returned without a valid RMA number will be rejected at the Buyer’s expense.

Dead on Arrival (DOA)

Products found to be functional or hardware defective upon initial unboxing must be reported within 7 business days of delivery, consistent with the inspection period outlined in Section 5. DANSKER will prioritize the replacement of DOA units after the defect is verified by our technical team.

Limited Warranty & Repairs

As a B2B provider, DANSKER provides a Standard Limited Warranty (typically 12 months, unless otherwise specified) covering manufacturing defects in hardware. Our obligation is limited to repairing or replacing the defective part or product. This warranty does not cover damages caused by improper installation, misuse, unauthorized firmware modification, or accidents.

Commercial Return Policy

We do not offer refunds or returns for “change of mind,” overstocking, or market fluctuations. All commercial sales are final. Exceptional returns for non-defective items are at DANSKER’s sole discretion and may be subject to a 25% restocking fee, provided the products are in original, unopened, and resalable condition.

Shipping Costs for Returns

Unless otherwise agreed or required by law, the Buyer is responsible for all shipping costs, duties, and insurance associated with returning products to our designated service center. DANSKER will cover the cost of shipping the repaired or replacement unit back to the Buyer.

Non-Returnable Items

Customized products (OEM/ODM), software licenses, clearance items, and products with tampered serial numbers or warranty seals are strictly non-returnable and non-refundable.

07 Intellectual Property

Ownership of Assets

All intellectual property rights, including but not limited to trademarks, service marks, logos (including “DANSKER” and “NAVURIS”), industrial designs, patents, copyrights, technical documentation, trade secrets, and proprietary algorithms, are the exclusive property of DANSKER or its respective licensors.

Software & Firmware

The software and firmware embedded in our hardware products are licensed, not sold. Any attempt to decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the firmware or software is strictly prohibited and may result in legal action.

Limited License for Distributors

Subject to a valid partnership agreement, DANSKER grants authorized B2B partners a limited, non-exclusive, non-transferable, and revocable license to use our product imagery, branding, and marketing materials solely for the purpose of promoting and reselling DANSKER products. Any modification of these materials requires prior written approval.

Feedback & Suggestions

Any feedback, comments, or suggestions provided by users or partners regarding our products shall become the property of DANSKER, and we may use such information for product optimization or R&D without any obligation or compensation to the provider.

Termination of Use

Upon the termination of a business relationship, all licenses to use DANSKER’s intellectual property shall immediately cease, and the Buyer must remove all proprietary assets from their websites and marketing platforms.

08 Prohibited Uses

You may not use our products or website for any illegal purpose, nor may you transmit any malware, interfere with site security, or use our assets for unauthorized competitive analysis.

09 Disclaimers

Our products and website services are provided “as is” and “as available.” While we strive for technical excellence, DANSKER makes no warranties that the website will be uninterrupted or error-free.

10 Limitation of Liability

To the maximum extent permitted by law, DANSKER shall not be liable for any indirect, incidental, or consequential damages (including loss of profits) arising from the use of our hardware or services.

11 Indemnification

You agree to indemnify and hold DANSKER harmless from any claims, damages, or legal fees resulting from your violation of these terms or misuse of our technology.

12 Governing Law & Dispute Resolution

Governing Law

These terms are governed by the laws of the Hong Kong Special Administrative Region (or the jurisdiction where our main headquarters is located).

Dispute Resolution

Any disputes shall be resolved through amicable negotiation or, failing that, submitted to binding arbitration in the designated jurisdiction.

13 Changes to Terms

DANSKER reserves the right to modify these terms at any time. Significant changes will be posted on our website, and continued use of our services constitutes acceptance of the new terms.
